An oral agreement about real estate is binding in most cases under Dutch law, but not in the case that matters most to private buyers. A private individual buying a home is only bound once the purchase agreement is in writing (Article 7:2 of the Dutch Civil Code, BW); a verbal “deal” on a house therefore binds neither the buyer nor the seller.
Outside that exception, contracts are free of form, and the real difficulty is proof. Below we explain when an oral property agreement binds, how to prove it, and what to put in writing at each stage.

When does an agreement come into existence under Dutch law?
Under Article 6:217 BW, a contract is formed by an offer and its acceptance. Under Article 3:37(1) BW, declarations can be made in any form unless the law provides otherwise, so a spoken agreement or even conduct can be enough.
Dutch law has no requirement of “consideration” as in common-law systems, and no general statute of frauds. What is needed is agreement on the essential terms and an intention to be bound; under Article 6:227 BW, the obligations must be sufficiently determinable. For a property deal, that means at least the property, the price and the parties.

When must a real estate agreement be in writing?
Under Article 7:2(1) BW, the purchase of a residential property must be concluded in writing if the buyer is a natural person not acting in the course of a profession or business. Until the agreement is signed, neither party is bound, so a seller may still accept a higher offer the day after agreeing verbally with you.
Once the buyer receives the signed agreement, Article 7:2(2) BW gives a three-day cooling-off period (bedenktijd) in which the buyer may dissolve the purchase without giving reasons. Under Article 7:2(4) BW, these rules cannot be set aside to the buyer’s detriment.
Which agreements can be oral?
The written-form rule does not apply to a company buying a home, to commercial property, or to a sale between two businesses. A lease (huur) under Article 7:201 BW has no statutory form requirement either, for residential or commercial property, although almost every landlord uses a written lease in practice.
Is a signed agreement enough to transfer ownership?
No. Under Article 3:89 BW, ownership of real estate only transfers through a notarial deed executed before a civil-law notary and registered in the public registers (Kadaster). The purchase agreement, written or oral, only creates the obligation to transfer. Under Article 7:3 BW, the purchase agreement itself can also be registered, which protects the buyer against later sales or encumbrances by the seller.
How do you prove an oral agreement?
The party relying on the agreement must prove that it was concluded and what it said. Under Article 152 of the Dutch Code of Civil Procedure (Rv), evidence may be provided by any means, and the court weighs it freely.
Emails, WhatsApp messages, invoices, payment records and witness statements all count. A confirmation email sent immediately after the conversation, setting out what was agreed and not contradicted by the other side, is in practice the strongest evidence. Conduct counts too: if a tenant moved in and the landlord accepted rent for months, a lease is easily established.

What if negotiations are broken off?
Even without a contract, breaking off negotiations at an advanced stage can lead to liability. Under Dutch case law, a party may break off negotiations unless the other party could reasonably rely on a contract being concluded, or unless breaking off is unacceptable for other reasons; in that case, damages may be owed, usually for costs incurred.
For a private home buyer, this route is limited by Article 7:2 BW: the written-form rule exists precisely to protect the consumer buyer, and the seller is free to sell to someone else until signing. Between businesses, how negotiations are ended matters as much as how they are conducted.
What can a court order if an oral agreement is binding?
Under Article 3:296 BW, a creditor can claim performance of an obligation in kind, so a court can order a seller bound by a valid agreement to cooperate in the transfer. If the seller does not perform, the buyer can also dissolve the agreement and claim damages.
Dutch law has no separate doctrine of “part performance” that turns an invalid agreement into a valid one. If the form requirement of Article 7:2 BW is not met, payments or improvements made in reliance on a spoken promise do not create a binding purchase; at most, a claim for unjust enrichment or damages may arise.

Is a verbal agreement to buy a house binding in the Netherlands?
Not if the buyer is a private individual. Under Article 7:2 BW, the purchase of a home by a consumer must be in writing, and until it is signed neither party is bound. After signing, the buyer has a three-day cooling-off period.
Is an oral lease valid?
Yes. Article 7:201 BW sets no form requirement for a lease, so an oral lease of a home or business premises is valid. Proof is the issue: payments, keys handed over and messages can show what was agreed.
How can I prove an oral agreement?
Under Article 152 Rv, any means of evidence is allowed: emails, messages, payment records and witnesses. The best evidence is a confirmation email sent right after the conversation that the other party did not contradict.
Does a binding purchase agreement make me the owner?
No. Under Article 3:89 BW, ownership of real estate only transfers by a notarial deed registered in the public registers. The purchase agreement creates the obligation to transfer, which a court can enforce under Article 3:296 BW.
